Agreement to obtain rights of software client list?

I am able to buy the rights to encode a now defunct software company, and their client list and domain websites. Are there any online purchase and download such an agreement would be sufficient to protect and indemnify my company, or should I look for a lawyer to draft such an agreement just for my unique situation?
